Terms & Conditions

Welcome to Dialabot.ai. These Terms and Conditions ("Terms") govern your
access to and use of the Dialabot.ai website, conversational AI
services, prototypes, and any related software or platforms
(collectively, the "Service").

The Service is a proprietary platform owned and operated by
Zarori Inc. ("Zarori", "we", "us", or "our"), a
Canadian corporation.

By accessing or using our Service, you agree to be bound by these Terms
and our Privacy Policy. If you do not agree to these Terms, you may not
use our Service.


1. The Gist: Our Agreement in Plain English

In simple terms: This is a legal contract between you
and Zarori Inc. We are providing you with the
Dialabot.ai service. You agree not to misuse it, and you understand
its limitations. We are a Canadian company with deep expertise in data
governance (including PIPEDA and HIPAA), and the laws of Ontario
govern this agreement.


2. Our "Complimentary Custom Prototype" Offer

We offer a complimentary, no-obligation custom prototype ("Prototype")
to prospective businesses. By submitting your information, you agree to
the following:

  • Limited License to Us: You grant Zarori a temporary,
    non-exclusive, royalty-free license to access and use the publicly
    available content on your company's website for the
    sole purpose of building a demonstration Prototype
    for you.
  • No Obligation: This Prototype is a demonstration of our
    capabilities. You are under no obligation to purchase any services.
  • Our Intellectual Property: Zarori retains all right,
    title, and interest in and to the Prototype, including the underlying
    AI models, conversation flows, and "Sara" agent persona. We are
    providing you with a demonstration, not a transfer
    of ownership.
  • Your Data: We will only use your public content to
    build the Prototype and will handle all data you submit in accordance
    with our Privacy Policy.

3. Your Responsibilities (Acceptable Use)

In simple terms: You agree to use our service
responsibly. You will not use it for illegal activities, to spam
people, to steal our technology, or to infringe on anyone's rights.
You are responsible for what you do with the service.

You are responsible for your use of the Service. You agree not to use the
Service:

  • For any illegal, fraudulent, or harmful purpose.
  • To violate any Canadian or international laws (including data privacy
    laws like PIPEDA or anti-spam laws like CASL).
  • To harass, threaten, or impersonate any person or entity.
  • To distribute spam, malware, or other malicious code.
  • To reverse-engineer, decompile, or otherwise attempt to discover the
    source code or underlying technology of the Service.
  • To infringe on the intellectual property rights of Zarori or any third
    party.

4. Data Governance and Compliance

As a service provided by Zarori, Dialabot.ai is built on a foundation
of robust data governance.

  • Service Standard: We agree to provide the Service in a
    manner consistent with the high standards required by regulations
    such as PIPEDA (Canada) and, where applicable to a
    client's data, HIPAA (USA).
  • Client Responsibility: If you are a client using our
    Service to handle data regulated by HIPAA ("Protected Health
    Information") or other sensitive data, you must execute a
    Business Associate Agreement (BAA) or
    Data Processing Agreement (DPA) with Zarori. You
    agree not to transmit such sensitive data through the Service until
    such an agreement is fully executed.

5. Third-Party Services

Our Service integrates with and relies on third-party applications and
sub-processors (such as Vapi for AI and HubSpot for CRM). Your use of
the Service is also subject to the terms of these third parties. Zarori
is not liable for the failures of any third-party services.


6. Fees and Payment (For Paying Clients)

If you subscribe to a paid plan, you agree to pay Zarori all fees
associated with your subscription. All fees are non-refundable except
as required by law or as stated in your specific service agreement.


7. Termination

In simple terms: You can stop using our service at any
time. We (Zarori) can also stop providing the service to you if you
break these rules.

You may terminate this agreement at any time by ceasing to use the
Service. We reserve the right to suspend or terminate your access to the
Service at any time if you breach these Terms.


8. Disclaimers and Limitation of Liability

In simple terms (This is the important legal part):
We are providing the service "as is." We don't promise it will be
perfect. Zarori Inc. is not liable for any business
losses or other damages you might suffer from using our service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE",
WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

IN NO EVENT SHALL ZARORI INC., ITS DIRECTORS,
EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES,
RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.


9. Indemnification

You agree to defend, indemnify, and hold harmless
Zarori Inc. and its employees, licensors, and agents
from and against any claims, damages, losses, and expenses (including
legal fees) arising from your use of the Service or your violation of
these Terms.


10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the
laws of the Province of Ontario and the federal laws of
Canada applicable therein.

Any legal action or proceeding arising under these Terms will be brought
exclusively in the courts located in Windsor, Ontario,
and you consent to the exclusive jurisdiction of such courts.


11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide
notice of changes by posting the updated Terms on this page and updating
the "Last Updated" date.
